OFFICIAL RULES FOR “ROGUE JAM 2021”
SPONSORED BY ROGUE GAMES, INC. AND IGN ENTERTAINMENT, INC.
THE “ROGUE JAM 2021” PROMOTIONAL COMPETITION (“COMPETITION”) IS SPONSORED BY ROGUE GAMES, INC. (“ROGUE”) AND IGN ENTERTAINMENT, INC. (“IGN”) (COLLECTIVELY, THE “SPONSORS”). THIS COMPETITION IS GOVERNED BY THESE OFFICIAL RULES (“RULES”). IN THESE RULES, “WE,” “OUR,” AND “US” REFER TO THE SPONSORS. “YOU” REFERS TO A CONTESTANT. PLEASE READ THESE RULES PRIOR TO ENTRY. BY PARTICIPATING IN THIS COMPETITION, YOU AGREE TO ABIDE BY THESE RULES, INCLUDING ALL ELIGIBILITY REQUIREMENTS, AND UNDERSTAND THAT THE RESULTS OF THE COMPETITION AS DETERMINED BY THE SPONSORS AND ITS AGENTS, ARE FINAL IN ALL RESPECTS. THE COMPETITION IS VOID WHERE PROHIBITED BY LAW OR SUBJECT TO REGISTRATION, TAXATION OR WITHHOLDING, AND IS SUBJECT TO ALL U.S. FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS. NO PURCHASE IS NECESSARY TO ENTER OR WIN.
OVERVIEW
The Rogue Jam 2021 Promotional Competition allows developers of unreleased games to submit their games for consideration for a publishing contract with Rogue Games, as well as exposure through audience voting and coverage of the Competition on IGN and IGN.com, including stories, interviews or entry demos, culminating in a “RogueJam” series of winner reveal videos.
ELIGIBLITY
You are eligible to enter this Competition if you meet the following requirements at time of entry:
- This Competition is open to developers who are eighteen (18) years of age or older or have reached the age of majority in their jurisdiction of residence as of the date of submission of their Entry.
- You are not a resident of any of the following jurisdictions: Cuba, Iran, France, Germany, North Korea, Quebec, Canada, Sudan, Syria, the Crimea territory, or any country or state where participation is illegal, prohibited, restricted, subject to tax, withholding or registration under applicable local laws.
- You are not subject to sanctions, blocking or other denial lists under U.S. law, including, but not limited to, persons on the US Treasury Department’s list of Specially Designated Nationals and Blocked Persons.
- You are not an employee or contractor of Rogue or IGN.
- You are not involved in any part of the administration and execution of this Competition.
- You are not an immediate family (parent, sibling, spouse, child) or household member of a Rogue employee or contractor, an IGN employee or contractor, or a person involved in any part of the administration and execution of this Competition.
- You must be legally able to enter a contract in the jurisdiction where you reside and the US, if not a US resident.
Individuals and teams of any size are eligible to participate. In the case of a team, one Contestant must complete the registration form, submit the Entry, and agree to these Rules on behalf of all members of the team, who will all be considered Contestants under these Rules.
ENTRY METHOD
To be considered entered, by the Entry Deadline, Contestants must both: (i) register through the online entry portal located here: https://roguejam.com/game-time and (ii) submit their entry game submission (“Entry”) through the online submission portal, completely and accurately filling out the entire registration form including providing their full legal name and address, agreeing to these Rules, and providing the correct and accurate email address to which any Competition-related communications will be sent;. Submissions will be in the form of zip files through the Rogue Jam submission portal unless demos are available on Steam, TestFlight, etc., all in compliance with the Entry Criteria below.
Each Contestant agrees that their participation in the Competition and any Entry submitted is voluntary, and not in confidence or trust; that other than these Rules, no confidential, fiduciary, agency or other relationship or implied in fact contract exists between the Contestant and Sponsors nor is any created by the Contestant’s participation in the Competition; that under no circumstances will submission of an Entry into the Competition or anything in these Rules be construed as an offer or contract of employment with the Sponsors, and that no Entry constitutes a work for hire.
Registrations and Entries will not be returned.
ENTRY DEADLINE
Contestants can register via the Rogue Jam online submissions portal beginning at 12:00:00 a.m. Pacific Time on November 15, 2021, and can start submitting their Entry via the Rogue Jam online submissions portal beginning at 12:00:00 a.m. Pacific Time on November 29, 2021. The registration and Entry must be received by 11:59:59 Pacific Time on December 31, 2021. Pacific Time means the time that is the current local time in Los Angeles on the dates above. Contestants are responsible for determining the corresponding time zone in their respective jurisdictions. The Sponsors’ computer system is the official timekeeping device with respect to all matters relating to the Competition.
We are not responsible for registrations or Entries that we do not receive for any reason, or for registrations or Entries that we receive but that are not decipherable for any reason. We will automatically disqualify any late, incomplete, excess or ineligible registrations or Entries. By submitting a registration or Entry, You agree that Your registration and Entry conform to these Rules and that the Sponsors, in their sole discretion, may remove Your registration or Entry and disqualify You from the Competition if they believe that Your registration or Entry fails to conform to the Rules.
ENTRY CRITERIA
To be eligible for entry, a game must meet the following content and technical requirements:
- The game is unreleased;
- The game is the original work of the Contestant or Contestant and members of the Contestant’s team in the event the Entry is submitted by a team;
- You have obtained any and all consents, approvals or licenses required for You to submit the game; and
- The game can be uploaded as a playable game on PC/Mac or leading consoles, VR platforms, or mobile platforms marketed in the United States.
The game may not contain, as determined by Us, in our sole and absolute discretion, any content that:
- is derogatory of any ethnic, racial, gender, religious, professional or age group;
- is pornographic;
- defames, misrepresents or contains disparaging remarks about other people or companies, and/or violates any law; or
- impinges the intellectual property rights of any third party.
The Sponsors reserve the right to reject any game, in our sole and absolute discretion, that We determine does not meet the above criteria.
ENTRY POTENTIAL USE
Other than what is set forth below, We are not claiming any ownership rights to Your registration or Entry. However, by submitting Your entry, You:
- are granting the Sponsors an irrevocable, royalty-free, worldwide right and license, in perpetuity and without any additional compensation, notification or permission, to:
(i) use, copy, modify, review, assess, test, otherwise analyze, display and publicly expose Your registration and/or Entry and all its content for any purpose in connection with this Competition, including without limitation creating video trailers of the Entry for use in connection with audience voting; and (ii) use, copy, modify, display or publicly expose Your registration and/or Entry and all content in connection with the marketing, sale, or promotion of this Competition, future competitions, or any of the Sponsors’ activities, goods and services (including but not limited to internal and external sales meetings, conference presentations, tradeshows, and screen shots of the registration or Entry in press releases), in any form, media or technology now known or later developed;
- agree to sign any necessary documentation that may be required for Us and our designees to make use of the rights You granted above;
- understand and acknowledge that Rogue, IGN and/or third-party sponsor(s) of the Competition may have developed or commissioned materials similar or identical to Your submission and You waive any claims You may have resulting from any similarities to Your Entry;
- understand that We cannot control the incoming information You will disclose to our representatives in the course of entering, or what our representatives will remember about Your Entry. You also understand that We will not restrict work assignments of representatives who have had access to Your Entry. By entering the Competition, You agree that use of information in our representatives’ unaided memories in the development or deployment of our products or services does not create liability for Us under these Rules or any copyright, trademark, trade secret, or similar law; and
- understand that You will not receive any compensation or credit for use of Your registration or Entry, other than what is described in these Rules.
While We reserve these rights, We are not obligated to use Your registration and/or Entry for any purpose beyond that necessary to administer the Competition, even if it has been selected as a winner. If You do not want to grant us these rights to Your registration and Entry, please do not enter the Competition.
JUDGING/VOTING
Once the online entry portal is closed, the Sponsors and judges will have two (2) months to evaluate all timely Entries for compliance with the Entry Criteria above, create/upload video trailers of selected Entries for the Audience Choice voting site, and conduct judging. Between 08:00:00 am Pacific Time on January 24, 2022 and 08:00:00 am on February 4, 2022 (the “Voting Period”), members of the public can view the video trailers available for voting announced via www.roguejam.com and vote for one Entry as their choice for the Audience Choice Winner. Members of the public may only vote one (1) time during the Voting Period. By submitting a vote, members of the public agree to the terms of the paragraph. The Sponsors reserve the right to disqualify and discount any and all votes that they in their sole discretion believe to be in excess of one vote per member of the public, including any believed to have been submitted by artificial means such as bots or scripts, or made using multiple accounts. Contestants may not vote for their own Entry. Sponsors reserve the right to disqualify any Contestant(s) that they in their sole discretion believe to have encouraged any other person to violate these voting limitations. Pacific Time means the time that is the current local time in Los Angeles on the dates above. Members of the public seeking to vote are responsible for determining the corresponding time zone in their respective jurisdictions. The Sponsors’ computer system is the official timekeeping device with respect to all matters relating to the Competition.
Games will be judged on the following criteria: Fun (this is the perceived marketable play value of the game), Originality (this is the extent to which the game is unique from others that have previously been published and are available in the marketplace); Presentation (this is the visual, aural, and, where appropriate, mechanical composition of the game); Polish (this is finish inclusive of everything from controllability to fluidity of gameplay; and the “Rogue” factor (the existence of any signature attribute(s), whether design, style, gameplay innovations or otherwise, that feels new, bizarre, original, and in line with Rogue’s brand.) The celebrity judging panel will make the ultimate winner selection by choosing one “Overall Winner,” one “WTF? Winner,” one “Eye-Poppingly Beautiful” Winner, and one “Huge Potential” Winner after considering the criteria above and debating the subjective merits of the Entries. The celebrity judging panel will then select the winner of the Audience Choice category from among top vote earning Entries that have not already been designated a winner of one of the other prizes. Specifically, the judges will review the three (3) Entries that receive the highest vote totals (including any tied Entries), and select the Audience Choice Winner from among them, after considering the criteria above and debating the subjective merits of each Entry. An Entry can only be designated the Winner of one prize and is excluded from judging for all other prizes.
Winner status is subject to notification, verification and completion of required documentation as described below.
WINNERS AND NOTIFICATION
The Contestant submitting an Entry designated as one of the five (5) winners (“Winners”) will be notified by email to the email address contained in the registration form submitted with the Entry and must respond within the timeframe provided and complete requested documentation to verify the Contestant’s and each team member’s, if applicable, identity and eligibility and execute releases of liability and publicity. In the event that the prize notification email is returned or undeliverable, the Sponsors are unable to contact the Contestant submitting an Entry designated as a Winner, or that Contestant does not comply with the requirements of the prize notification email during the timeframes provided or the Contestant or Entry is otherwise disqualified under these Rules, the Sponsors will designate an alternate Winner of the prize, from among the remaining Entries that have not been designated a Winner of any prize, following all the Judging and notification procedures described herein. By accepting a prize, each Contestant agrees to release, discharge and hold harmless the Sponsors from any claims, losses, or damages arising out of the Competition or the acceptance or use, misuse or possession of that prize. Winners will be announced publicly in episodes of a competition series entitled “RogueJam” scheduled to air as follows on IGN and IGN.com:
April 18, 2022: Premiere Episode 1 – Huge Potential $50,000 Winner
April 25, 2022: Premiere Episode 2 – Eye-Poppingly Beautiful $100,000 Winner
May 2, 2022: Premiere Episode 3 – WTF? $100,000 Winner
May 9, 2022: Premiere Episode 4 – Overall $500,000 Winner
May 16, 2022: Premiere Episode 5 – Audience Choice $50,000 Winner
The odds of winning depend upon the number and quality of Entries received. The “Overall Winner,” the “WTF? Winner” and the “Eye-Poppingly Beautiful Winner” agree to negotiate and enter into the publishing contract with Rogue described below which will provide that Rogue will have the exclusive, worldwide right and license, in perpetuity, to publish their game on all platforms. The “Huge Potential Winner” and “Audience Choice” Winner agree to negotiate and enter into the exclusive right of first negotiation contract with Rogue described below with no obligation on the part of Rogue to enter into a subsequent publishing contract for their game.
By accepting a prize, the Contestant, or each of them in the event the winning Entry was submitted by a team, grants its permission to the Sponsors (except where prohibited by law) to the use of Contestant’s name, likeness, biographical information, and prize won for future advertising and publicity in any form, media or technology now known or later developed, for any lawful commercial purpose, throughout the world in perpetuity, without additional compensation, notification or permission. Winners are responsible for all filing and payment of all federal, state, local or other forms of taxes or fees or reports related to their receipt of a prize in the Competition.
PRIZE DETAILS
The five (5) confirmed Winners will receive the following prizes:
Overall Winner will receive an exclusive Rogue publishing contract with personalized game development and marketing budget of USD $500,000 at Rogue’s customary and usual costs for use in bringing the game to market under the publishing contract.
WTF? Winner will receive an exclusive Rogue publishing contract with personalized game development and marketing budget of USD $100,000 at Rogue’s customary and usual costs for use in bringing the game to market under the publishing contract.
Eye-Poppingly Beautiful Winner will receive an exclusive Rogue publishing contract with personalized game development and marketing budget of USD $100,000 at Rogue’s customary and usual costs for use in bringing the game to market under the publishing contract.
The Huge Potential Winner will receive an exclusive Rogue right of first negotiation contract with personalized game development and marketing budget of USD $50,000 at Rogue’s customary and usual costs for use in bringing the game to market under a subsequent publishing contract with Rogue or otherwise.
The Audience Choice Winner will receive an exclusive Rogue right of first negotiation contract with personalized game development and marketing budget of USD $50,000 at Rogue’s customary and usual costs for use in bringing the game to market under a subsequent publishing contract with Rogue or otherwise.
The Sponsors makes no representation or warranties concerning the appearance, safety or performance of the prize awarded. The prizes are non-transferable and are not redeemable for cash.
PRIVACY AND USE OF USER-GENERATED CONTENT
By entering, except where prohibited by law, You are granting the Sponsors permission to use Your name, likeness, city, state, biographical information and registration and Entry content in any media or technology throughout the world in perpetuity for advertising and publicity purposes, without additional compensation, notification, or permission. Collection and use of a Contestant’s information is governed by Rogue’s Privacy Policy, which may be found here: https://rogueco.com/privacy-policy/. This Competition, the use of any Rogue website, forum or game and Rogue’s use of any Contestant submitted content is also governed by the Rogue Terms of Service, which may be found here: https://rogueco.com/terms-of-service/.
INDEMNIFICATION AND LIMITATION OF LIABILITY
By entering the Competition, You agree to indemnify, release and hold harmless the Sponsors and their affiliates and subsidiary companies, including without limitation, the Sponsor’s administrators, advertising and promotional agencies, attorneys, and all their respective officers, directors, employees, representatives and agents from any liability, damages, losses or injury resulting in whole or in part, directly or indirectly, from Contestant’s participation in the Competition and the acceptance, use or misuse of any prize that may be won. The Sponsors and their parent, affiliate and subsidiary companies do not make any warranties, express or implied, as to the condition, fitness or merchantability of the prize. The Sponsors and their parents, subsidiaries, affiliates, advertising and promotional agencies, and all their respective officers, directors, employees, representatives and agents disclaim any liability for damage to any computer system resulting from access to or the download of information or materials connected with the Competition.
ADDITIONAL TERMS AND CONDITIONS; RELEASE; WAIVER OF CLASS ACTION
The Competition is void where prohibited by law or subject to registration, taxation or withholding, and is otherwise subject to all applicable U.S. federal, state and local regulations.
The Sponsors are not responsible for, and by participating each Contestant releases the Sponsors from, any liability, claims, losses, and damages arising out of or relating to their participation in this Competition or the acceptance, use, misuse, or possession of any prize received in this Competition. The Sponsors are not responsible for any problems related to technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, traffic, congestion on the internet or any website, unauthorized intervention, telecommunication miscommunication or failure, unavailability of any website or platform, and failed, lost, delayed, incomplete, garbled, or misdirected communications which may limit a person’s ability to participate in the Competition in any way. The Sponsors are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Competition, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Competition, the announcement of any Winner, or in any Competition-related materials.
If the Competition is not capable of running as planned, including due to any legal obligation, dispute, act of God, war or civil unrest, infection by computer virus, hacking, fraud, technical failure or other causes, the Sponsors reserves the right at its sole discretion to cancel, terminate, modify or suspend without the award of prizes the Competition and/or to select winners from among all otherwise eligible and non-suspect Entries received prior to the cancellation. Persons found tampering with or “hacking” the Competition, attempting to “game” or tampering with the Competition in any way whatsoever to gain an unfair advantage, violating the fair play or spirit of the Rules, or abusing any aspect of this Competition will be disqualified. The Sponsors reserve the right to correct any typographical, printing, computer programming or operator errors, including without limitation computer errors that erroneously award prizes.
The Sponsors shall be the sole arbiter of the Competition and the interpreter of these Rules, including as to eligibility. Its decisions shall be final. Entry into the Competition constitutes agreement by Contestants to abide by these Rules, as well as any other rules established by the Sponsors. The Sponsors reserve the right to disqualify any Contestant if the Sponsors, in their sole discretion, believe that any of the Rules are violated in any way. The Sponsors reserve the right to refuse awarding any prize to a person who is determined to have violated any Rule as outlined above, to be ineligible to enter, to have gained unfair advantage in participating in the Competition, or obtained a winner status using fraudulent means.
If any part of these Rules is held by a court of competent jurisdiction to be invalid, illegal, or otherwise unenforceable, such part will be deemed modified or eliminated to the extent necessary, in the court’s opinion, to make it enforceable while preserving the original intent of the Sponsors, and the remaining parts of these Rules will remain in full force and effect. The Rules will be interpreted by, and enforced in accordance with, the laws of the State of California and applicable United States federal law, without regard to any conflicts of laws principles. Any dispute arising out of or relating to these Rules, the Competition, or any prize must be brought exclusively in the state or federal courts located in San Francisco, California, and the Sponsors and each Contestant irrevocably waive any objection to the venue and jurisdiction thereof. ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE COMPETITION, OR ANYTHING AWARDED IN CONNECTION WITH THE COMPETITION, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.
